Terms of Service
These terms of service (“Terms”) govern your use of the software and services available when you access your Chevy Chase Trust Company account online at cct.wealthaccess.com or directly from Chevy Chase Trust Company’s service provider, Wealth Access, Inc. (“Service Provider” and together with Chevy Chase Trust Company, “Chevy Chase Trust”) at wealthaccess.com (the “Platform”). Please read these Terms carefully. By using the Platform, you, the end user (“You” and “Your”), are confirming that You have read and understand, and agree to be bound by, these Terms. If You do not agree to these Terms, You may not use the Platform.
Entire Agreement
These Terms, together with the Service Provider Privacy Policy, which is hereby incorporated by reference and any other rules or guidelines posted in connection with the Platform, are the entire and exclusive agreement between Chevy Chase Trust and You regarding the Platform. These Terms supersede and replace any prior agreements between Service Provider and You regarding the Platform.
Information
You agree not to provide any information through the Platform that You know, or should know, is unlawful, false, misleading, malicious or discriminatory, or that violates a third party’s rights and You agree to not misrepresent your identity or your account information.
Logon Credentials and Data Security
You agree to not share Your logon credentials or attempt to access the Platform without providing Your valid logon credentials.
Proprietary Rights
You acknowledge that the Platform is proprietary and constitutes valuable commercial property and/or trade secrets and that no proprietary rights or ownership in the Platform shall vest in You. You agree not to reverse engineer or reverse compile any of the service technology associated with the Platform. Further, You agree not to intentionally or with gross negligence do anything that could disable, overburden, or impair the proper working of the Platform.
License to Content
You are licensing to Chevy Chase Trust any information, data, passwords, materials or other content (collectively, “Content”) You provide through or to the Platform. Chevy Chase Trust may use, modify, display, distribute and create new material using such Content solely as necessary to provide the Platform to You. Chevy Chase Trust may also use aggregate nonpersonally identifiable information that is derived from Content or through Your use of the Platform solely for the purpose of : (i) monitoring, improving, and correcting the performance of the Platform, developing enhancements to the Platform and new products, and other internal business purposes, and (ii) compiling statistical information and metadata (including without limitation aggregating de-identified data with other data) that does not identify You. By submitting Content, You automatically agree, or promise that the owner of such Content has expressly agreed that, without any particular time limit, and without the payment of any fees, Chevy Chase Trust may use the Content for the purposes set out above.
Operation and Availability of the Platform
You expressly understand and agree that the operation of the Platform will not be error free in all circumstances, that all defects in the Platform may not be corrected, that the operation of the Platform may be interrupted for reasonable periods of time by reason of defect therein or by reason of fault on the part of Service Provider and that the Platform is not to be relied upon as a sole source of information in connection with the provision of financial or investment advice or in connection with the decision to execute any financial or investment strategy or any trade, purchase or sale of securities or other property. Chevy Chase Trust does not warrant (1) that the Platform or any equipment, system, or network on which the Platform is used or accessed, or any information stored or processed by or through the Platform, will be free of vulnerability to intrusion, attack, or unauthorized use or disclosure, (2) that the Platform will meet all of Your requirements, (3) title to the Platform, quiet enjoyment, conformance to any specifications, or non-infringement, or (4) that the results that may be obtained from the use of the Platform will be accurate or reliable.
Third Party Accounts
By using the Platform and adding or attempting to add accounts or other information maintained outside of Chevy Chase Trust, You authorize Chevy Chase Trust to access third party sites designated by You, on Your behalf, to retrieve information requested by You (which may include your financial information), to register for accounts requested by You and to act as your agent for this limited purpose. YOU ACKNOWLEDGE AND AGREE THAT WHEN CHEVY CHASE TRUST ACCESSES AND RETRIEVES INFORMATION FROM THIRD PARTY SITES,
CHEVY CHASE TRUST IS ACTING AS YOUR AGENT, AND NOT THE AGENT OR ON BEHALF OF THE THIRD PARTY. You agree that third party account providers shall be entitled to rely on the foregoing authorization and agency granted by You. You agree that we do not assume any responsibility for, and that we shall incur no liability with respect to, the acts, omissions or determinations of any provider of such third party site(s).
LIMITATION OF LIABILITY
YOU AGREE THAT NEITHER CHEVY CHASE TRUST NOR ANY OF THEIR AFFILIATES, ACCOUNT PROVIDERS OR ANY OF THEIR AFFILIATES WILL BE LIABLE FOR ANY HARMS, WHICH LAWYERS AND COURTS OFTEN CALL DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, EVEN IF CHEVY CHASE TRUST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE PLATFORM; (ii) THE COST OF GETTING SUBSTITUTE GOODS AND SERVICES, (iii) ANY PRODUCTS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO, THROUGH OR FROM THE PLATFORM; (iv) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; (v) STATEMENTS OR CONDUCT OF ANYONE ON THE PLATFORM; (vi) THE USE, INABILITY TO USE, UNAUTHORIZED USE, PERFORMANCE OR NON-PERFORMANCE OF ANY THIRD PARTY ACCOUNT PROVIDER SITE, EVEN IF THE PROVIDER HAS BEEN ADVISED PREVIOUSLY OF THE POSSIBILITY OF SUCH DAMAGES; OR (vii) ANY OTHER MATTER RELATING TO THE PLATFORM.
Miscellaneous
These Terms shall be governed by, construed and enforced in accordance with the laws of the State of Maryland, without giving effect to any conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively by state or federal courts located in the State of Maryland. If any provision of these Terms is deemed to be illegal or unenforceable, the remainder of these Terms shall be unaffected and shall continue to be fully valid, binding, and enforceable.
Changes to the Terms
Chevy Chase Trust may, in its sole and absolute discretion, change these Terms from time to time. Chevy Chase Trust will post a copy of the Terms as changed on cct.wealthaccess.com. Your continued use of the Platform after the changed terms are posted constitutes Your agreement to abide by the Terms as changed. If you object to any such changes, Your sole recourse shall be to cease using the Platform.
